PERSEUS NPLs Management

Members of the PERSEUS NPLs Management team have a longstanding experience with non-performing loans management in public and private engagements in several countries of Central and Eastern Europe.

Herewith, our team has numerous worldwide contacts on owners and managers similar assets all over the world at its disposal that are prepared to offer their know-how for our realized projects. For example in the year 2001 our company participated together with Korean state asset management company KAMCO on public tender for the management of non-performing loans portfolio of Slovenska Konsolidacni a.s. in the form of a joint venture. 

We offer our clients complete service with transactions of sales and acquisitions of NPLs portfolios in a difficult legal and economic environment of Central and Eastern Europe. Through a local and foreign team of experts we are prepared to complexly cover the following stages of the transaction:

 

1. Arrangement of the transaction with NLPs portfolio - introductory cooperation with the client to create an optimal transaction strategy and especially:

  • analysis of existing and potential transactions with NLPs portfolios including their manageability;
  • proposal of specific procedure variants including the recommendation of the optimal transaction procedure;
  • transaction time schedule;
  • transaction methodology including optimal bidding strategy;
  • process and optimal model of the entire transaction.

2. Service Company project proposal (SPV) – in reference to a concrete preferred access of a client to transactions it is established a complex project of service company establishment, which will consequently manage the purchased NPLs portfolio for the client. The project includes above all the following:

  • form of founding of the company;
  • corporate governance including the drafting of internal regulations;
  • proposal for internal team composition including the detailed requirements on employees in specific positions;
  • the potential financial functioning of SPV according to the usual international standards for this type of operations;
  • strategy for cooperation with external suppliers of services necessary for effective management of NPLs portfolio including their categorization, negotiations, system of reward and control mechanism.

3. Analysis and evaluation of the NPLs portfolio – complete analysis of the NPLs portfolio done by using market information about NPLs portfolio important also for later distribution of the NPLs into specific groups for their management. The analysis is created in the form of a Due Diligence Report.

4. Management of SPV – providing of executive management of Service Company for the whole period of transaction with the NPLs portfolio.

5. Negotiation of sale a parts of the NPLs portfolio to further investors – in connection to separation of the purchased NPLs portfolio into specific parts according to the type of debtor or their regional affiliation could these smaller sub-portfolios be offered to local investors.

6. Own management and collection of the NPLs portfolio – based on specific wishes of clients we are prepared by our own means or the means of our external partners to provide the following services associated with practical enforcement and collection of NPLs:

  • collection of claims against individuals (retail claims);
  • sale of small and medium sized loans;
  • special legal and advisory services:
  • management and the evidence pledged assets (real-estate, tangible assets, debtor’s receivables, etc.)
  • restructuring procedure of large debtors

  • private financial institutions; 
  • state consolidation, work-out, development, bail-out and other type of institutions;
